Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vertias platform, website, and console (collectively, the "Service"). By accessing or using the Service you agree to be bound by these Terms. If you are entering into these Terms on behalf of a firm, you represent that you are authorised to bind that firm.

Vertias is a technology and compliance-infrastructure provider for SEBI Registered Intermediaries. Vertias itself is NOT an investment adviser, research analyst, broker, or portfolio manager, and does not provide investment advice, recommendations, or any regulated financial service. All advisory activity conducted using the Service is performed by, and is the sole responsibility of, the SEBI-registered firm using it.

The Service is intended for use by SEBI-registered firms and their authorised personnel. You are responsible for maintaining the confidentiality of your sign-in method (magic link plus TOTP second factor) and for all activity under your account. You must notify us promptly of any unauthorised access.

You agree not to:

• Use the Service in violation of SEBI regulations or any applicable law.
• Attempt to alter, forge, or delete audit-ledger records or circumvent the HMAC-SHA-256 hash chain.
• Reverse-engineer, resell, or provide unauthorised third-party access to the Service.
• Upload malicious code or interfere with the integrity or performance of the platform.

The Service maintains a hash-chained, internally verifiable audit ledger of advisory activity to support your regulatory obligations. Records committed to the ledger are tamper-evident — any later alteration is detectable when the chain is verified — and are retained for the periods mandated by SEBI. Enforced write-once (WORM) object-lock retention is on our roadmap. Evidence packs and audit exports are provided on an as-is basis reflecting the data you and your personnel entered.

Nothing on the Service constitutes investment advice from Vertias. Investments in securities markets are subject to market risks; read all related documents carefully before investing. Past performance is not indicative of future returns, and there is no assurance of any return. Vertias makes no representation regarding the suitability, performance, or outcome of any investment or advice delivered through the Service.

To the maximum extent permitted by law, Vertias shall not be liable for any indirect, incidental, or consequential damages, or for any loss arising from investment decisions made by an RIA/RA or their clients. The Service is provided on an "as is" and "as available" basis. Our aggregate liability is limited to the fees paid for the Service in the twelve months preceding the claim.

Either party may terminate the engagement in accordance with the applicable order form. Upon termination, and subject to mandatory SEBI retention requirements, you may export your records. Records under an active retention or legal-hold obligation will be preserved until that obligation lapses.
